Company formation

Among of all types of legal entities the main business vehicle is Liability Limited Company (LLC). A potential shareholder is expected to provide the following documents for the process of Kazakh company registration: notarised copy of the passport (in case of individual shareholder) or the certificate of incorporation, the articles of association, its decision to incorporate a Kazakh entity and a power of attorney issued to local representatives (in case of entity shareholder). The documents have to be legalised or apostilled (The Hague Convention 1961).

Interim (nominee) director

If a company intends to hire a foreigner for any position the former has to obtain a work permit for such employee. This service is dedicated for clients that wish to appoint a foreign director. The situation is that such director has to have a work permit  before commencing his/her office and the work permit cannot be applied for without a director.

We provide interim director services in the cities of Almaty, Astana and Karagandy ensuring transparency and complete protection of the client’s business. Every single decision of such director requires authorisation by the client. The duration and powers of interim director will be limited by constituent documents of such company.

So long as we guarantee the reputation of each interim director, the latter has the right to refuse to sign any particular document or perform any action that violate any applicable law or cause the risk of breach of law, or is in contrast with the goals of the company.

Work permit

The companies that are intending to appoint a foreign employee for any position have to obtain a work permit for such employee.

Obtaining a work permit for a foreign employee in Kazakhstan is not the easiest process. Not to mention the time (usually from 1 to 2 months) that whole process consumes. Nevertheless, we strive the make the process easier and smother for our clients. Moreover, we always try to negotiate the most acceptable local content diversification obligations for our clients.

Legal address

At the client’s request we assist in bank account opening process in any bank of Kazakhstan.

Accounting services

It is compulsory to keep books of account under Kazakhstan law. This service includes accounting of initial financial operations (payment of share capital, rent agreement, employment contracts).

Tax reporting

We obtain online tax reporting key, submit quarter and annual reports to the tax authorities during first fiscal year, provided that the company has not commenced active business.
